Your submission of this Wholesale Application indicates that you agree to the terms of the following Wholesale Agreement: ORDERING PROCESS & PRODUCTION TIME Orders may be placed by phone, through our online store with a unique 40% off code, or by e-mail. Phone: 541.728.3363 Website: www.hoppedupjewelry.com E-mail: hello [at] hoppedupjewelry.com - The Wholesale Account will receive an order confirmation via e-mail before any product is shipped. By receiving the confirmation, you agree to receive the purchase order as confirmed. You have 48 hours from the time the confirmation is received to contact Hopped Up Jewelry regarding canceling or adjusting the purchase order. Our products are made to order, so please allow 1-2 weeks for production time. If we estimate your order will take longer than normal, we will notify you. MINIMUM ORDER REQUIREMENTS Initial order minimum for new retailers is $350. Minimum reorder: $200. MSRP All Hopped Up Jewelry products have a suggested retail price (MSRP). Retailers retain the right to charge above the MSRP; however, the buy-back option described in the Returns section of this agreement will not apply to those particular accounts. In the event the Retailer chooses to place the products or goods for sale at a discount, the Retailer cannot discount the products more than 20% below MSRP without the written approval of Hopped Up Jewelry. PAYMENT METHODS & INVOICING Hopped Up Jewelry currently offers Net-30 terms to Wholesale Accounts with an established payment history, with the exception of the initial order for all new Retailers, which must be paid in full before shipment. We accept major credit card payments online via our website or Paypal, and business checks from established Retailers. Accounts will be subject to an interest charge of 3% of the amount of the entire invoice beginning 30 days after the invoice is due and increasing by 2% every 15 days thereafter. Terms will be reverted to pre-payment if account is overdue more than twice in a fiscal year. Additional orders will not be processed before receipt and clearance of the previous payment. All shipping charges will be added to the invoice for each order. SHIPPING/HANDLING We use USPS Priority or FedEx Ground for shipment of orders, based on cost affordability, unless you specify/request a quicker mode of shipping (additional charges apply). On all orders, we include the cost of packaging materials and handling fees in your shipping total. PACKAGING All products are shipped on 4 inch hand stamped coasters with ¼ inch punch holes located near the top, ready for display. If needed, custom counter-top displays are available for a one-time rental fee of $25, which will be refunded to Retailer if the display is eventually returned to Hopped Up Jewelry. ERRORS, RETURNS, AND WARRANTY Order errors and/or defects must be brought to Hopped Up Jewelry Customer Service attention within 5 business days of receipt of shipment. We endeavor to protect your reputation, and ours; if you or your customer finds an issue related to quality defects during the first 30 days after sale, we will work with you to find a resolution. Return of unsold product is available after 6 months have passed, less a 15% restocking fee. If goods are damaged during shipping, we will replace the product at no additional charge. No returns are accepted for product that is damaged after delivery. WEB COMMERCE No products or goods purchased from or produced by Hopped Up Jewelry shall be resold by or through any online auction sites or online stores (such as ebay, Amazon, Etsy or other similar sites). If the Wholesale Account wishes to sell products produced by Hopped Up Jewelry in an online marketplace/store, it must be owned by the entity applying for a Wholesale Account and listed on the Wholesale Application to be approved by Hopped Up Jewelry. PRODUCT IMAGES In the event online sales permission (as described previously) is granted, Hopped Up Jewelry will make available images that you might require for your print and online presence. Should you require any additional images, please contact us. Any imagery you wish to provide yourself must be approved prior to use (please allow adequate lead-time for approval; two weeks is recommended). MERCHANTABILITY AND MISREPRESENTATIONS Wholesale Account agrees that Hopped Up Jewelry makes no warranty, express or implied, as to the merchantability of Hopped Up Jewelry products. Wholesale Account also agrees that Hopped Up Jewelry is not liable for any misuse or misrepresentations of the goods by the Wholesale Account or the final retail purchaser or consumer, and indemnifies Hopped Up Jewelry for any legal actions that emanate from such actions. Hopped Up Jewelry reserves the right to change the terms of this Agreement as necessary. Prices are subject to change without notice. Either party with 30-day written notice can terminate wholesale relationship. Confirmation of Agreement to Policies, Terms & Conditions I agree that I will not allege to consumers that I manufactured these products myself, nor appointees of myself. I have reviewed and understand Hopped Up Jewelry policies and procedures for payment and shipping as well as all terms and conditions. I authorize Hopped Up Jewelry to keep this agreement on file and apply these policies to all future transactions made between Hopped Up Jewelry and myself.
